Develops, formalizes, and maintains a comprehensive legal and compliance framework, including an export management and compliance program, based on existing policies, procedures, Group standards, and industry best practices. Ensures company-wide compliance with applicable domestic and international laws and regulations, including corporate, commercial, employment, trade, and regulatory requirements (ITAR, EAR, OFAC, CBP, and other relevant laws)Provides legal advice and guidance to executive management and internal stakeholders on business transactions, contracts, regulatory matters, and risk mitigation strategies. Acts as the primary Legal & Compliance liaison to the Group General Counsel, ensuring alignment with Group policies, escalation of material legal and compliance matters, and consistent application of legal standards. Reviews, drafts, negotiates, and manages commercial contracts, including customer, supplier, service, distribution, licensing, and confidentiality agreements. Oversees the company’s commercial contracts lifecycle, including contract templates, approval processes, risk assessment, execution, amendments, and record retention. Monitors restricted and denied parties lists, U.S. sanctions programs, and “Know Your Customer” requirements to ensure compliance and prevent prohibited transactions. Designs and delivers legal and compliance training programs for employees, with a focus on trade compliance, ethics, and regulatory awareness. Other Duties/ Responsibilities. Supports strategic initiatives, cross-functional projects, and other duties as assigned by the VP & CFO and, where appropriate, in coordination with the Group General Counsel. Directly manages and oversees the Trade Compliance Manager, providing strategic direction, oversight, and support for export, import, and customs compliance activities. Coordinates with external counsel and the Group Legal function on complex or high-risk legal matters, as appropriate. Monitors changes in laws and regulations affecting the business and communicate relevant updates and risk assessments to senior management and other stakeholders. Conducts and oversees periodic internal audits and compliance reviews to ensure ongoing adherence to legal and regulatory requirements. Continuously improves and adapts legal and compliance programs to align with evolving regulatory requirements, Group governance standards, and business needs Requirements Skills/ Qualifications. Master’s degree in Law, Legal Studies, Business, or a related field; Juris Doctor (JD) or equivalent legal qualification strongly preferred. Minimum of 5 years of experience in legal, compliance, and/or trade compliance roles, preferably in an international or regulated industry. Proven experience leading and developing compliance or legal professionals. Excellent analytical, organizational, and problem-solving skills with strong attention to detail. Strong communication and interpersonal skills, with the ability to advise senior leadership and collaborate effectively with Group-level stakeholders. Experience working with external counsel, regulators, and compliance service providers. Relevant professional certifications or bar admission are a plus. Tuition assistance available annually after the first year. The salary range for this position is $145,000 - 190,000 per year depending on experience. Salary to be determined by the education, experience, knowledge, skills, and abilities of the applicant, internal equity, and alignment with market data.
